Corporate governance and business ethics in India have undergone significant transformation in the context of constitutional democracy, evolving regulatory frameworks, and increasing stakeholder expectations. This paper examines the impact of constitutional values on corporate governance and business ethics in India, emphasizing the role of justice, equality, accountability, transparency, and rule of law in shaping responsible corporate conduct. Although the Indian Constitution primarily governs state action, its normative values indirectly influence corporate behaviour through legal frameworks, regulatory institutions, and ethical standards embedded in corporate governance mechanisms. The study explores how principles such as fairness, stakeholder protection, and accountability are reflected in the Companies Act, 2013, SEBI regulations, and business responsibility reporting frameworks. It also analyses the relationship between constitutional ethos and ethical decision-making within corporate organisations, highlighting the importance of integrity, transparency, and social responsibility in business operations. Using secondary data and qualitative analysis, the paper discusses empirical evidence, including governance compliance trends among NIFTY 100 companies, and identifies key challenges in aligning corporate practices with constitutional ideals. The findings suggest that stronger regulatory enforcement, ethical leadership, and stakeholder engagement are essential for embedding constitutional values into corporate governance structures, thereby promoting sustainable business practices, investor confidence, and inclusive economic development in India.
